TERMS OF SERVICE

Welcome to LeadEpt™ (leadept.com). These Terms of Service ("Terms") govern your access to and use of the LeadEpt™ digital marketing, call tracking, and voice routing infrastructure. By accessing our platform or submitting a territory assignment form, you agree to be bound by these Terms.
1. Description of Services
LeadEpt™ operates as a hybrid business-to-business (B2B) digital marketing and direct routing network. We deploy multi-channel advertising across Google and Meta networks to generate high-intent inbound consumer phone calls from property owners. These calls are dynamically routed via our enterprise telecom infrastructure (Ringba/Twilio) to independent local home improvement contractors ("Partners").
2. Territory Assignment and Exclusivity Mandate
Zip-Code Retention: Exclusivity is granted on a strict zip-code parameter. Once a Partner locks a territory, 100% of the qualified inbound calls generated by LeadEpt™ in those zip codes will be delivered directly to that Partner.
Vacancy and Forfeiture: LeadEpt™ reserves the right to reopen a territory if a Partner consistently fails to answer live transfers, falls behind on billing schedules, or violates professional licensing requirements within their state.
3. Billing Baseline and the 90-Second Quality Shield
The 90-Second Rule: All calls delivered to our Partners are tracked in real time. Partners are only billed for "Qualified Calls." A call is contractually deemed qualified once the live conversation duration clears the 90-second threshold as marked by our Ringba ledger.
Unbilled Exceptions: Any inbound call that terminates under 90 seconds (including wrong numbers, immediate disconnects, or spam traffic) is processed at a $0.00 billable rate.
Payment Processing: All post-pilot routing transactions are processed automatically via Stripe. Partners agree to maintain a valid, authorized credit card on file within their LeadEpt™ client portal.
4. Free Pilot Phase Conditions
New authorized Partners are entitled to a 3-call risk-free trial. LeadEpt™ will cover 100% of the advertising and routing costs for the first three (3) qualified calls crossing the 90-second mark. Upon completion of the third qualified call, the Partner can choose to keep the territory line open on a pay-per-call basis or disconnect the routing line with zero further obligation.
5. Partner Obligations and Licensing
Contractors participating in the LeadEpt™ network must maintain active, valid residential contracting licenses and insurance required by their state or local jurisdiction. Partners accept full corporate liability for the execution, construction quality, contract scoping, and structural warranties of all projects generated via our inbound calls. LeadEpt™ is explicitly a routing medium and holds no operational stake in the final physical job site.
6. Limitation of Liability
LeadEpt™ manages marketing optimization and live voice delivery. We do not, under any circumstances, guarantee close rates, contract values, or specific corporate revenue outcomes for our Partners. Partners acknowledge that closing a residential project depends entirely on their internal sales staff, response speed, and localized pricing models.
7. Termination of Service
Either party may terminate the territory assignment contract with a simple 24-hour written notice. Upon termination, the designated zip codes will be immediately released back into the LeadEpt™ gateway for open bidding by local competitors.
